Terms of sales

Article 1 – ENFORCEMENT OF CONDITIONS

The seller is defined below as Acanthis Laboratoire SARL with a share capital of € 50,000 with registered office at Le Clos des Passerelles - Plan de Lardier - 05110 Lardier and Valença France registered at the Companies and Trade Registry of Gap under number 480 149 194 (TVA FR 19480149194. The buyer is defined below as being the company or the signatory accepting the present conditions of sale.The general conditions of sale apply exclusively to all the sales concluded by Acanthis Laboratoire both for its own account and for that of its principals. All other conditions are binding on the seller only after written confirmation from him. The information given on catalogs, price lists, websites, notes, etc. are given as an indication only and may, as such, be modified by the seller without prior notice.The mere act of placing an order or accepting an offer from the seller includes the unconditional acceptance of these terms and conditions. The offers are valid within the limit of the option period set to one week from the date of the offer unless otherwise stipulated for this offer. These general conditions may be modified at any time without notice by Acanthis Laboratoire, the modifications then being applicable to all subsequent orders.

Article 2 – ORDER

Any order implies full acceptance of our terms and conditions of sale.
Any first order from a customer must be accompanied by a bank account statement and the VAT number in accordance with EU regulations.
The order form constitutes the special conditions that supplement these general terms of sales.
The minimum order is 50.00 € HT departure.

Article 3 – PRICE

The products are supplied from our establishment at the price without taxes in force at the time of the placing of the order.

Article 4 – TRANSPORT - DELIVERY

On receipt, the buyer is invited to check the conditions of shipments and their compliance to the order form. Our goods travel at the risk and jeopardy of the recipient, it is up to him to make, if necessary, all the specific reservations on the list of transport in case of missing or damaged package. A complaint must then be sent within 48 hours following the receipt, by registered letter with acknowledgement of receipt to the carrier to allow the buyer to assert his rights. A duplicate of this correspondence must be sent to ACANTHIS.
In case of package not in accordance with the order form resulting from an error on our part, the return and replacement of the goods will be at the expense of ACANTHIS.

Article 5 - CONDITION OF PAYMENT

Invoices are payable at the ACANTHIS head office - Le Clos des Passerelles - F05110 LARDIER & VALENCA.
The payment period can not be more than 30 days end of month.
In case of change of address, the buyer must notify our company when placing an order and attach his new bank identity statement.

Article 6 - DELAY OF PAYMENT

Any payment made beyond this period will automatically render the customer liable for a late payment penalty fixed at 1.5 times the rate of the legal interest in force which will run automatically and without prior notice from the due date. Except report requested in time and granted by ACANTHIS.
In the case of repetitive non-payment, new orders must be paid in advance of their delivery or will be sent cash on delivery.

Article 7 – DELIVERY TIME

Delivery times are only indicative. Any delay in the receipt of the goods can not be a cancellation of order, a refusal or a claim for damages.

Article 8 – CLAIM EXCHANGE AND RETURN OF GOODS

Any claim, to be valid, must be made within 48 hours after receipt of the goods.

The exchange, the repossession and the return of the good is possible and will be accepted only with the prior agreement of ACANTHIS.

Article 9 – PROPERTY RETENTION CLAUSE

In accordance with French Law No. 80-335 of May 12, 1980, our sales are carried out with reservation of title of goods sold until the effective payment of the full price in principal and accessories. Failure to pay any of the due dates may result in the claim of the goods. In the event of bankruptcy or legal settlement, this clause allows ACANTHIS to claim its goods within the legal period.
These provisions do not preclude the transfer to the buyer, upon delivery, of the risks of loss and deterioration of the goods sold as well as the damage they could cause.

Article 10 – ATTRIBUTION DE JURISDICTION

French law will govern this sales contract.
Any dispute that can not be the subject of an amicable solution between the parties will be express agreement, the jurisdiction of the Commercial Court of Gap even in case of plurality of defenders.
